Introduction

Welcome to Ducent.

These Terms & Conditions (“Terms”) govern your access to and use of the Ducent website, applications, products, and services operated by Zigna (“Zigna”, “Ducent”, “we”, “us”, or “our”).

By creating an account or accessing or using Ducent, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use Ducent.

1. About Ducent

Ducent is a business discovery and trust platform designed to help users discover businesses, interact with businesses, initiate transactions, and make more informed decisions using information, reviews, ratings, and trust-related signals available on the platform.

Ducent may provide tools that allow users and businesses to:

  • Discover businesses
  • Search for products, services, and businesses
  • Create business profiles
  • Communicate or interact through platform features
  • Initiate and manage transactions
  • Submit reviews and ratings
  • Submit transaction evidence
  • Report businesses or users
  • Participate in dispute processes
  • View trust-related information

Ducent does not necessarily provide, own, manufacture, sell, or deliver the products or services offered by businesses listed on the platform.

Unless expressly stated otherwise, a transaction between a user and a business is a transaction between those parties and not a transaction with Zigna or Ducent.

2. Eligibility

You must meet the minimum legal age required to use Ducent in your jurisdiction.

Ducent is not intended for minors.

By creating an account, you represent that:

  • You meet the applicable minimum age requirement.
  • You have the legal capacity to enter into these Terms.
  • The information you provide is accurate.
  • You will maintain accurate account information.
  • You will comply with applicable laws.

We may suspend or terminate accounts that we reasonably believe do not satisfy these requirements.

3. Creating an Account

Certain Ducent features require an account.

When creating an account, you agree to:

  • Provide accurate information.
  • Keep your account information current.
  • Maintain the security of your credentials.
  • Not share your account with another person.
  • Not create accounts for fraudulent or abusive purposes.
  • Notify us if you believe your account has been compromised.

You are responsible for activity carried out through your account unless you can demonstrate that the activity occurred without your authorization and through no fault of your own.

4. Business Accounts

Businesses may create accounts to establish a presence on Ducent and provide information about their business.

Businesses are responsible for ensuring that information they provide is:

  • Accurate
  • Current
  • Complete
  • Lawful
  • Not misleading

This may include information such as:

  • Business name
  • Business description
  • Products or services
  • Business location
  • Contact information
  • Business categories
  • Social media handles
  • Registration information
  • Other information displayed on the business profile

A business must not impersonate another business or person.

5. Business Verification

Ducent may offer business verification features.

Where verification is required, businesses may be asked to provide registration or identification information, including CAC registration information or documentation.

Verification indicates that Ducent has completed the applicable verification process based on the information provided at the time of verification.

Verification does not constitute an endorsement, guarantee, certification, or warranty by Ducent regarding the business, its products, services, employees, owners, or conduct.

Ducent may revoke or suspend verification where information is found to be inaccurate, fraudulent, outdated, or otherwise inconsistent with our requirements.

6. Business Listings

Businesses are responsible for the content and information contained in their listings.

Businesses must not:

  • Publish false or misleading information.
  • Claim to provide products or services they do not provide.
  • Impersonate another business.
  • Use another business’s identity without authorization.
  • Manipulate reviews or ratings.
  • Create fraudulent transactions.
  • Upload unlawful or infringing content.
  • Use Ducent to facilitate unlawful activity.

We may modify, restrict, suspend, or remove listings that violate these Terms or applicable law.

7. Transactions

Ducent may provide functionality allowing users to initiate transactions with businesses.

A transaction may involve:

  • A user initiating a transaction.
  • The business accepting or rejecting the transaction.
  • The parties completing the transaction.
  • The user or business providing relevant transaction information or evidence.
  • The transaction being marked as completed.
  • A review or rating being submitted.

The specific transaction workflow may vary depending on the features available on Ducent.

Unless expressly stated otherwise, Ducent is not a party to the underlying transaction between the user and the business.

8. Responsibility for Transactions

Users and businesses are responsible for determining whether a transaction is appropriate for them.

Before entering into a transaction, users should consider information available on the business profile, including reviews, ratings, verification information, and other trust-related information.

Ducent does not guarantee that:

  • A business will accept a transaction.
  • A business will complete a transaction.
  • A product or service will meet a user’s expectations.
  • A business will perform as represented.
  • A transaction will be completed successfully.
  • Information provided by another user or business is accurate.

9. Payments

Where Ducent does not directly process a payment, payment arrangements are between the user and the relevant business or payment provider.

Where Ducent introduces payment functionality in the future, additional payment terms may apply.

Users and businesses remain responsible for complying with applicable payment, tax, and financial obligations relating to their transactions.

10. Reviews and Ratings

Ducent may allow users and businesses to submit reviews and ratings based on their experiences.

Reviews must represent a genuine experience.

You must not:

  • Submit fake reviews.
  • Review a business without a genuine basis for the review.
  • Review yourself or your own business deceptively.
  • Manipulate ratings.
  • Coordinate reviews to artificially increase or decrease a rating.
  • Offer or accept incentives in exchange for misleading reviews.
  • Submit multiple accounts or transactions for the purpose of manipulating reviews.
  • Threaten or harass another person through a review.

Reviews must not contain unlawful, defamatory, threatening, hateful, or otherwise prohibited content.

Ducent may remove or restrict reviews that violate these Terms.

11. Trust Scores and Trust Information

Ducent may use information such as transactions, reviews, ratings, verification status, disputes, and other platform activity to generate trust-related information.

Trust scores and similar indicators are intended to provide users with additional information when evaluating businesses and interactions on Ducent.

Trust scores are not guarantees of business quality, reliability, honesty, financial standing, or future performance.

A high trust score does not guarantee a successful transaction.

A low trust score does not necessarily mean that a business is fraudulent or unlawful.

Trust-related systems may change as Ducent improves its fraud detection, ranking, and trust mechanisms.

12. Fraud and Platform Integrity

Ducent may use automated systems, transaction information, account activity, and other signals to detect suspicious activity and protect the integrity of the platform.

We may investigate activity including:

  • Fake accounts
  • Fraudulent transactions
  • Fake reviews
  • Review manipulation
  • Identity misrepresentation
  • Business impersonation
  • Abuse of transaction systems
  • Attempts to manipulate trust scores
  • Spam
  • Other abusive behavior

Where reasonably necessary, we may restrict, suspend, or terminate accounts or transactions.

13. Disputes

Ducent may provide tools that allow users and businesses to report disputes relating to transactions.

Where available, Ducent may review information submitted by the parties, including transaction records, evidence, messages, reviews, and other relevant information.

Ducent’s involvement in a dispute does not make Ducent a party to the underlying transaction.

Unless expressly stated otherwise, Ducent does not guarantee that it can recover money, goods, services, or other losses arising from a dispute.

Users and businesses remain responsible for resolving contractual or legal disputes between themselves where appropriate.

14. User Content

Zigna is not responsible for the availability, content, security, or practices of third-party services.

Your use of third-party services may be subject to their own terms and policies.

  • Your violation of these Terms.
  • Your unlawful use of Ducent.
  • Your content.
  • Your transactions with another user or business.

24. Changes to Ducent

We may modify, add, or remove features from Ducent at any time.
